10. Disclaimer of Warranties. THE SITE AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COVERED PARTIES (AS DEFINED IN THE DISCLAIMER, WHICH DEFINITION IS INCORPORATED HERE AND INCLUDES MICHAEL ANTHONY PAOLICELLI AND JANET PAOLICELLI INDIVIDUALLY, TOGETHER WITH GUEST CONTRIBUTORS, CONTRACTORS, AGENTS, LICENSORS, AFFILIATES, SUCCESSORS, AND ASSIGNS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR MATERIALS. THE COVERED PARTIES' TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO COURAGE MATTERS, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100 IF YOU HAVE PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11a. Health Acknowledgment for Programs and Events. By enrolling in any program, community, mentoring, or event, you represent that you are physically and mentally able to participate, that you have consulted (or had the opportunity to consult) your own licensed providers regarding participation, and that you will promptly discontinue participation and seek appropriate professional care if you experience distress.
11b. Recording and Media Release. Programs, community sessions, and events (live or virtual) may be recorded. By participating, you grant Courage Matters, LLC a perpetual, worldwide, royalty-free license to record, use, and publish your name, voice, likeness, image, and contributions captured in such recordings for program delivery, archival, and promotional purposes, unless you opt out in writing where an opt-out is offered. You may not record sessions or events without our prior written permission.
11c. Injunctive Relief for IP Violations. You agree that unauthorized use of our intellectual property would cause irreparable harm for which money damages are inadequate, and that Courage Matters, LLC is entitled to seek injunctive relief in addition to all other remedies, without the requirement of posting bond.
12. Indemnification. You agree to indemnify, defend, and hold harmless the Covered Parties from and against all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your violation of any law or third-party right, or your misuse of the Site or Materials.
13. Governing Law; Disputes. These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws principles.
(a) Informal Resolution First. Before filing any claim, you agree to send written notice of the dispute to hello@michaelanthonyofficial.com and give Courage Matters, LLC thirty (30) days to attempt in good faith to resolve it.
(b) Binding Individual Arbitration. Except for (i) small-claims-court actions within that court's jurisdiction and (ii) actions for injunctive relief to protect intellectual property, any dispute, claim, or controversy arising out of or relating to the Site, the Materials, or these Terms shall be resolved by BINDING ARBITRATION administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, with the seat of arbitration in South Carolina (hearings may be conducted remotely at either party's request). Judgment on the award may be entered in any court of competent jurisdiction. YOU AND COURAGE MATTERS, LLC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
(b-1) Class Action and Representative Action Waiver. All claims must be brought in the parties' individual capacities, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any representative proceeding.
(b-2) Jury Trial Waiver (Fallback). If for any reason a dispute proceeds in court rather than arbitration, YOU AND COURAGE MATTERS, LLC EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY, and consent to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina.
(b-3) Severability of Dispute Provisions. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than arbitration, and the remainder of this Section remains in effect.
(c) Time Limit on Claims. To the fullest extent permitted by law, any claim arising out of or relating to the Site, Materials, or these Terms must be filed within ONE (1) YEAR after the claim accrues, or it is permanently barred.
(d) The prevailing party in any action to enforce these Terms is entitled to recover its reasonable attorneys' fees and costs to the extent permitted by law.
14. Termination. We may suspend or terminate your access to the Site or any program for violation of these Terms. Provisions that by their nature should survive (IP, disclaimers, releases, limitations of liability, indemnification, dispute provisions, governing law) survive termination.
14a. Copyright Complaints (DMCA). If you believe content on the Site infringes your copyright, send a notice compliant with 17 U.S.C. §512 to hello@michaelanthonyofficial.com with "DMCA Notice" in the subject line, including identification of the work, the allegedly infringing material, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We may remove material and terminate repeat infringers.
14b. Electronic Communications and Signatures. By using the Site, purchasing, or opting in, you consent to receive communications from us electronically (email, SMS, in-platform), and you agree that electronic acceptance of these Terms and related agreements has the same force as a handwritten signature.
14c. Force Majeure. The Covered Parties are not liable for any delay or failure to perform resulting from causes beyond reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labor disputes, governmental action, utility or internet failures, or platform outages.
14d. International Use. We operate from the United States and make no representation that the Site or Materials are appropriate or available in other locations. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
15. Changes to These Terms. We may revise these Terms from time to time; the Effective Date reflects the latest version. Continued use after changes constitutes acceptance.
16. Miscellaneous. If any provision is held unenforceable, it shall be reformed (not stricken) to the minimum extent necessary to make it enforceable while preserving its intent, and the remainder stays in full effect. Our failure to enforce a provision is not a waiver. We may assign these Terms and our rights and obligations without restriction; you may not assign yours without our written consent. Headings are for convenience only. These Terms, together with the Privacy Policy, Disclaimer, and any program-specific agreements, are the entire agreement between you and Courage Matters, LLC regarding the Site.
